These Terms of Service ("Terms") constitute a legally binding agreement between you and Ixidron Electronics Ltd, a company incorporated in Quebec, Canada with VAT registration 948103726 RT 0001 ("Company," "we," "us," or "our"), located at 1000 Rue de la Gauchetière O, Montréal, QC H3B 4W5, Canada.

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of a company or organization, you represent and warrant that you have authority to bind such entity to these Terms.
You agree to provide accurate, current, and complete information when registering for any account or service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
All content, materials, designs, trademarks, logos, and intellectual property contained on our website and within the Services (collectively, "Company Content") are the exclusive property of Ixidron Electronics Ltd or our licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Company Content solely for your personal, non-commercial use in connection with the Services. Any unauthorized reproduction, distribution, modification, or transmission of Company Content is strictly prohibited.
Work products, deliverables, or custom solutions created by Ixidron Electronics Ltd as part of our Services remain the intellectual property of the Company unless otherwise specified in a separate written agreement. Clients receive a license to use such deliverables solely for the purposes specified in their service agreement.
If you submit, upload, or provide any content, feedback, suggestions, or materials to us ("User Content"), you grant Ixidron Electronics Ltd a worldwide, perpetual, non-exclusive, royalty-free license to use, modify, and distribute such content. You represent and warrant that you own or have the necessary rights to User Content and that its submission does not violate any third-party rights.

TO THE MAXIMUM EXTENT PERMITTED BY CANADIAN LAW, IN NO EVENT SHALL IXIDRON ELECTRONICS LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY IN ANY CALENDAR YEAR SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THAT CALENDAR YEAR, OR $1,000 CAD, WHICHEVER IS LESS.
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IXIDRON ELECTRONICS LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
You agree to indemnify, defend, and hold harmless Ixidron Electronics Ltd and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or court order.
Pricing for Services is as agreed upon in writing between you and Ixidron Electronics Ltd. Unless otherwise specified, invoices are due within 30 days of issuance. Failure to pay invoices on time may result in suspension or termination of Services.
All fees are quoted in Canadian dollars (CAD) and exclude applicable Harmonized Sales Tax (HST) unless otherwise stated. You are responsible for all applicable taxes, duties, and governmental charges.
Refund eligibility depends on the nature of the Services and any agreements in place. For project-based services, refunds are generally not available once work has commenced. Subscription-based services may be cancelled with 30 days' written notice.
All refund requests must be submitted in writing to contact@ixidron.shop with detailed justification. Approved refunds will be processed within 30 business days.
Ixidron Electronics Ltd may suspend or terminate your access to the Services at any time, with or without cause, with written notice. Upon termination, your right to use the Services ceases immediately, and you must cease all use of Company Content.
Sections of these Terms that by their nature should survive termination, including Intellectual Property Rights, Confidentiality, Limitation of Liability, and Indemnification, shall remain in effect.
Your use of the Services is subject to our Privacy Policy, which outlines how we collect, process, and protect your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Quebec privacy laws.
By using the Services, you consent to the collection and processing of your data as described in the Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You hereby consent to the exclusive jurisdiction of the courts located in Montréal, Quebec for the resolution of any disputes arising under these Terms.
Our website may contain links to third-party websites or services that are not operated by Ixidron Electronics Ltd. We are not responsible for the content, accuracy, or practices of such third-party sites and disclaim all liability for any damages arising from your use of them.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and any separate written agreements between you and Ixidron Electronics Ltd, constitute the entire agreement between you and the Company regarding the Services and supersede all prior negotiations, understandings, and agreements.
